Acceptance of Terms

It is your responsibility to review these Terms periodically. Your continued use after any modifications indicates your acceptance of the updated Terms. If you are using our services on behalf of a legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In the event that any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Any rights not expressly granted herein are reserved by Peace Peak. You also agree that you are at least eighteen (18) years of age or the age of majority in your jurisdiction, and that you possess the legal capacity to enter into this agreement. If you are under eighteen, you may not use our services without the supervision of a parent or legal guardian who agrees to these Terms on your behalf. Peace Peak may, at its sole discretion, refuse service, terminate accounts, or cancel orders if we believe that you have violated these Terms or applicable laws. Your acceptance is ongoing and unconditional, subject only to the termination provisions set forth in Section 9.

User Responsibilities and Obligations

As a user of Peace Peak services, you assume certain responsibilities and obligations that are fundamental to maintaining a safe, lawful, and respectful environment for all participants. You agree to use our services only for lawful purposes and in accordance with these Terms, as well as all applicable local, national, and international laws and regulations. You shall not engage in any conduct that restricts or inhibits any other user from using or enjoying our services, or that may harm Peace Peak or its affiliates. Prohibited activities include, but are not limited to: (a) transmitting any material that is unlawful, threatening, abusive, defamatory, obscene, or invasive of another's privacy; (b) uploading or distributing viruses, malware, or any other harmful code; (c) attempting to gain unauthorized access to any part of our systems, accounts, or data; (d) interfering with the proper functioning of our services, including overloading, flooding, or spamming; (e) using any automated means, such as bots, scrapers, or crawlers, to access or collect data from our platform without our prior written permission; (f) impersonating any person or entity, or falsely stating or misrepresenting your affiliation with any person or entity; (g) violating any intellectual property rights, including copyrights, trademarks, or trade secrets; (h) engaging in any fraudulent activity, including chargeback abuse or identity theft; (i) reselling, redistributing, or commercially exploiting our services or content without explicit authorization; (j) sharing your account credentials with any third party or allowing others to use your account. You are solely responsible for maintaining the confidentiality of your login information, passwords, and any activity that occurs under your account. You must notify Peace Peak immediately of any unauthorized use of your account or any other breach of security. Peace Peak will not be liable for any loss or damage arising from your failure to protect your account. You also agree to provide accurate, truthful, and complete information when creating an account or making a purchase, and to update such information as necessary. You are responsible for all charges incurred under your account, including any taxes and fees. If you provide payment information, you represent that you are authorized to use the payment method and that you will pay all amounts due in a timely manner. Peace Peak reserves the right to verify your identity and payment details, and to refuse service if we suspect any violation of these Terms. You must not use our services to distribute unsolicited commercial communications (spam) or to engage in any form of advertising without our prior consent. Furthermore, you agree to comply with all export control and sanctions laws, and you represent that you are not located in or a resident of any country subject to comprehensive U.S. or UN sanctions. You also agree not to use our services to engage in any activity that could damage, disable, overburden, or impair our infrastructure. Peace Peak may, at its sole discretion, monitor your use of the services to ensure compliance with these Terms, and we reserve the right to suspend or terminate your access if we determine, in our sole judgment, that you have violated any provision. You acknowledge that you are responsible for any content you post, upload, or transmit through our services, and you grant Peace Peak a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, and display such content solely for the purpose of providing and improving our services. You waive any moral rights in such content to the extent permitted by law. Finally, you agree to cooperate with Peace Peak in any investigation of suspected unlawful or improper activity, and to comply with any reasonable requests for information. Your obligations under this section survive any termination of your account or use of our services.

In addition, you are obligated to respect the privacy and rights of other users. You must not collect or harvest any personally identifiable information from other users without their express consent. You shall not engage in any form of cyberbullying, harassment, or hate speech. Peace Peak encourages a respectful community and may take appropriate action, including reporting to authorities, if we become aware of such behavior. You also agree not to circumvent any technological measures implemented to protect our services, including but not limited to encryption, access controls, or rate limiting. If you discover a security vulnerability, you agree to report it to us privately at feedback@peacepeak.buzz, and not to disclose it publicly until we have had a reasonable opportunity to address it. Your failure to adhere to these responsibilities may result in immediate termination of your access, legal liability, and forfeiture of any amounts paid. Peace Peak reserves the right to pursue all remedies available at law or in equity. You acknowledge that you have read and understood these obligations, and you agree to be held accountable for any breach.

Intellectual Property Rights

All content, materials, trademarks, trade names, logos, service marks, designs, text, graphics, images, software, data, databases, audio, video, and other intellectual property (collectively, 'IP') available on or through Peace Peak's platforms, including but not limited to the website https://www.peacepeak.buzz, are the exclusive property of Peace Peak Trading Co., Ltd., its licensors, or its content providers, unless otherwise indicated. All IP is protected by applicable copyright, trademark, patent, trade secret, and other intellectual property laws of China, the United States, and international conventions. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the IP solely for your personal, non-commercial use in connection with the services provided by Peace Peak. This license does not permit you to reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any IP, except as expressly authorized in writing by Peace Peak. You may not use any Peace Peak trademark or logo without prior written consent. You may not frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information without our express permission. You may not use any meta tags or any other 'hidden text' utilizing our name or trademarks without our written consent. All rights not expressly granted to you are reserved by Peace Peak. Any unauthorized use of the IP may violate copyright, trademark, and other laws, and may result in civil or criminal penalties. Peace Peak actively enforces its intellectual property rights to the fullest extent of the law. If you believe that any content on our platform infringes your copyright, please notify us at feedback@peacepeak.buzz with a detailed description of the alleged infringement, and we will respond promptly in accordance with applicable safe harbor provisions. You agree not to remove, alter, or obscure any copyright, trademark, or other proprietary rights notices appearing on or in connection with the IP. The use of any IP for commercial purposes, including but not limited to resale, redistribution, or republication, is strictly prohibited without our prior written agreement. You acknowledge that any suggestions, feedback, or ideas you submit to Peace Peak regarding our services or IP shall become the sole property of Peace Peak, and you hereby assign all rights, title, and interest in such submissions to us. Peace Peak shall have no obligation to compensate you for any such submissions. Our IP may not be used in any manner that disparages or discredits Peace Peak or its affiliates. This section shall survive any termination of your account or these Terms. If you violate any provision of this section, your license to use the IP automatically terminates, and you must immediately destroy any copies you have made. Peace Peak reserves the right to seek injunctive relief and damages for any infringement. The provisions of this section are for the benefit of Peace Peak, its licensors, and its content providers, each of which shall have the right to enforce such provisions directly on its own behalf.

Furthermore, the compilation, arrangement, and overall design of our platform are the exclusive property of Peace Peak and are protected by Chinese and international copyright laws. Any unauthorized copying, scraping, or data mining of our content is prohibited. You may not use any robot, spider, or other automatic device to monitor or copy our web pages or content without our prior written permission. Peace Peak respects the intellectual property rights of others, and we expect our users to do the same. We will respond to notices of alleged copyright infringement that comply with applicable law. If you are a copyright owner and believe that any content on our platform infringes your copyright, you may submit a notification to our designated agent with the following information: (i) a physical or electronic signature of the copyright owner or a person authorized to act on their behalf; (ii) identification of the copyrighted work claimed to have been infringed; (iii) identification of the material that is claimed to be infringing and information reasonably sufficient to locate it; (iv) your contact information; (v) a statement that you have a good faith belief that the use is not authorized; and (vi) a statement, under penalty of perjury, that the information in the notification is accurate and that you are authorized to act on behalf of the owner. Peace Peak will take appropriate action, including removal of the infringing material. This policy is without prejudice to any other rights or remedies available at law.

Confidentiality

Confidential information, as used in these Terms, means any non-public information, data, or materials disclosed by Peace Peak to you, whether orally, in writing, or in any other form, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure. Confidential information includes, but is not limited to, trade secrets, business strategies, customer lists, financial data, product specifications, pricing models, software algorithms, internal processes, and any proprietary technical or business information. You agree to hold all confidential information in strict confidence and not to disclose, divulge, or distribute it to any third party without the prior written consent of Peace Peak. You may use confidential information solely for the purpose of utilizing Peace Peak's services as expressly permitted under these Terms, and not for any other purpose. You shall take reasonable measures to protect the confidentiality of such information, using at least the same degree of care that you use to protect your own confidential information, but in no event less than a reasonable standard of care. You may disclose confidential information only to your employees or agents who have a need to know and who are bound by confidentiality obligations at least as restrictive as those contained herein. You shall be fully responsible for any breach of confidentiality by your employees or agents. The obligation of confidentiality does not apply to information that: (a) is or becomes publicly available through no fault of yours; (b) was rightfully in your possession prior to disclosure by Peace Peak without an obligation of confidentiality; (c) is independently developed by you without use of or reference to Peace Peak's confidential information; or (d) is required to be disclosed by law, regulation, or court order, provided that you give Peace Peak prompt notice of such requirement and cooperate with us in seeking a protective order or other appropriate remedy. You acknowledge that any unauthorized disclosure of confidential information could cause irreparable harm to Peace Peak, and that monetary damages may not be a sufficient remedy. Therefore, Peace Peak shall be entitled to seek injunctive relief or other equitable remedies without the necessity of posting bond, in addition to any other remedies available at law. Upon termination of these Terms or upon Peace Peak's request, you must promptly return or destroy all confidential information in your possession or control, and certify in writing that you have done so. This confidentiality obligation survives termination of these Terms and your use of our services for a period of five (5) years, or indefinitely for trade secrets. You also agree not to reverse engineer, decompile, or disassemble any software or technology provided by Peace Peak that constitutes confidential information. Any breach of this section may result in immediate termination of your access and legal action. Peace Peak may also disclose your information as required by law or to protect its rights, as outlined in our Privacy Policy. By using our services, you acknowledge that you have read and understood these confidentiality obligations and agree to be bound by them.

Additionally, you agree that any feedback, suggestions, or ideas you provide to Peace Peak regarding our services shall not be considered confidential, and Peace Peak may use them without any obligation to you. However, any proprietary information you share with us during the course of a business relationship may be treated as confidential if we have a separate non-disclosure agreement in place. In the absence of such an agreement, Peace Peak assumes no duty of confidentiality with respect to unsolicited submissions. You are encouraged to avoid sending any confidential information to Peace Peak unless expressly requested. If you believe that you need to disclose confidential information for a legitimate business purpose, please contact us to execute a mutual non-disclosure agreement. This section does not restrict Peace Peak from using or disclosing information that is independently developed or obtained from a third party without restriction. The confidentiality provisions are intended to protect the proprietary interests of Peace Peak and its business partners. Any violation may result in significant legal and financial consequences. You agree to indemnify Peace Peak for any losses arising from your breach of confidentiality, as further described in Section 8.

LIMITATION OF LIABILITY

DISCLAIMER OF WARRANTIES

Indemnification

You agree to indemnify, defend, and hold harmless Peace Peak Trading Co., Ltd., its affiliates, subsidiaries, directors, officers, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees and legal costs) arising out of or relating to: (a) your use or misuse of the services; (b) your violation of these Terms, including any breach of your representations, warranties, or obligations; (c) your violation of any applicable law, regulation, or third-party right, including but not limited to intellectual property rights, privacy rights, or contractual rights; (d) any content or information you submit, post, transmit, or otherwise make available through the services; (e) any activity that occurs under your account, whether authorized by you or not; (f) your negligence, willful misconduct, or fraudulent behavior; (g) any dispute between you and another user; (h) your use of any third-party services or products accessed through our platform; or (i) any unauthorized use of your account or credentials caused by your failure to maintain confidentiality. Peace Peak reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate fully with Peace Peak in asserting any available defenses. You shall not settle any claim without the prior written consent of Peace Peak if such settlement would impose any obligation on Peace Peak or require an admission of liability. This indemnification obligation is ongoing and shall survive the termination of these Terms and your use of the services. Peace Peak may, at its sole discretion, offset any amounts owed to you against any indemnification obligations you have under this section. You acknowledge that your indemnification obligations are a material part of these Terms, and that Peace Peak would not provide the services without your agreement to indemnify us. If you are using the services on behalf of an entity, the entity agrees to be jointly and severally liable with you for all indemnification obligations. Peace Peak reserves the right to seek indemnification from you for any claims brought by third parties, including but not limited to other users, regulatory authorities, or intellectual property holders. You agree to notify Peace Peak promptly of any claim that may give rise to an indemnification obligation. Failure to do so may relieve Peace Peak of its obligations, but does not relieve you of your indemnification obligations. This section is intended to be as broad as permissible under applicable law. In jurisdictions where indemnification for negligence is limited, your obligation shall apply to the fullest extent allowed. You further agree to indemnify Peace Peak for any costs incurred in enforcing this indemnification provision, including reasonable attorneys' fees. This indemnification is in addition to any other remedies available to Peace Peak at law or in equity.

Additionally, you agree to indemnify Peace Peak for any claims arising from your violation of any export control or sanctions laws, or from your use of the services in a manner that violates any applicable anti-corruption laws. You also agree to indemnify Peace Peak for any claims arising from your unauthorized use of our intellectual property or confidential information. This indemnification extends to any claims made by government entities or regulatory bodies. You acknowledge that Peace Peak may, in its sole discretion, choose to participate in the defense of any claim, but is not obligated to do so. You shall not admit any liability or settle any claim on behalf of Peace Peak without our prior written consent. The indemnification obligations set forth in this section are independent of any other provisions of these Terms and shall survive any termination or expiration of these Terms. If any part of this indemnification is found to be unenforceable, the remainder shall continue in full force and effect. Peace Peak reserves the right to modify this indemnification provision as required by law, but any such modification will not affect your obligations for events occurring prior to the modification. You are encouraged to obtain appropriate insurance to cover your potential indemnification obligations. This section is a material inducement for Peace Peak to enter into these Terms and provide the services.

Termination

These Terms shall remain in full force and effect while you use the services, unless terminated earlier in accordance with this section. Peace Peak reserves the right, in its sole discretion and without prior notice or liability, to suspend, restrict, or terminate your access to all or any part of the services, for any reason or no reason, including but not limited to a breach of these Terms, violation of applicable law, fraudulent activity, or conduct that Peace Peak believes is harmful to other users, third parties, or Peace Peak's business interests. You may terminate these Terms at any time by discontinuing use of the services and closing your account, if applicable. However, all provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, confidentiality, limitation of liability, disclaimer of warranties, indemnification, governing law, and dispute resolution. Upon termination, your right to use the services immediately ceases, and you must destroy any copies of content or materials obtained from Peace Peak. Peace Peak is not obligated to retain or provide you with any data or content after termination. We may, but are not required to, provide you with a notice of termination and an opportunity to cure a breach, depending on the nature and severity of the violation. If your account is terminated for cause, you forfeit any rights to refunds or credits, and you remain liable for all amounts due up to the date of termination. Peace Peak may also terminate or suspend the services, in whole or in part, at any time without liability. You agree that Peace Peak shall not be liable to you or any third party for any termination of your access or use of the services. If you have a paid subscription or service, Peace Peak will provide a pro-rata refund for the unused portion, unless termination is due to your breach. In the event of termination by Peace Peak for convenience, we will provide reasonable notice via email. You may request deletion of your account and personal data by contacting feedback@peacepeak.buzz, subject to our data retention policies. Termination does not relieve you of any obligations that have accrued prior to the effective date of termination. Any suspected fraudulent, abusive, or illegal activity may be referred to appropriate law enforcement authorities. Peace Peak reserves the right to cooperate fully with any law enforcement investigation. You agree that Peace Peak has no obligation to monitor your use of the services, but may do so to ensure compliance with these Terms. This termination section is without prejudice to any other rights or remedies Peace Peak may have at law or in equity.

Furthermore, Peace Peak may, at its sole discretion, terminate these Terms if we decide to discontinue the services or any part thereof. In such case, we will use reasonable efforts to notify you in advance, but are not obligated to do so. You acknowledge that Peace Peak may modify or discontinue any feature of the services at any time. If you object to any changes or become dissatisfied with the services, your only remedy is to terminate your account and cease use. No termination shall relieve you of your obligation to pay any fees or charges that have accrued prior to termination. Peace Peak may also terminate your account if you fail to pay any amounts when due. In the event of termination, you must immediately cease all use of the services and remove any Peace Peak materials from your systems. Any licenses granted to you under these Terms automatically terminate upon termination. Peace Peak may, but is not obligated to, retain copies of your data for legal or operational purposes. You agree that Peace Peak shall not be liable for any loss or damage that may result from termination of these Terms. This section shall be interpreted in accordance with the governing law of China.

Governing Law

These Terms and any dispute, claim, or controversy arising out of or relating to them, whether in contract, tort, or otherwise, shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms. Any legal action, suit, or proceeding arising out of or relating to these Terms or the services shall be instituted exclusively in the courts located in Kunming, Yunnan, China, and you irrevocably submit to the personal jurisdiction of such courts and waive any objection based on improper venue or forum non conveniens. However, Peace Peak may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information. You agree that any cause of action you may have arising out of or related to these Terms must commence within one (1) year after the cause of action accrues; otherwise, such cause of action is permanently barred. The governing law provision does not limit any consumer protection rights that cannot be waived under applicable law. If you are a consumer in the European Union or other jurisdiction with mandatory consumer protections, those protections apply to the extent they cannot be excluded. In such cases, the governing law shall be the law of your country of residence, and disputes may be brought in your local courts. However, for all other users, the exclusive jurisdiction and governing law as stated above shall apply. Peace Peak operates from China and makes no representation that the services are appropriate for use in other locations. Users who access the services from outside China do so on their own initiative and are responsible for compliance with local laws. This section shall survive any termination of these Terms. You agree that any claim or dispute must be brought on an individual basis and not as a class, consolidated, or representative action. You expressly waive any right to participate in a class action against Peace Peak. If any part of this governing law or dispute resolution provision is found to be unenforceable, the remainder shall continue to apply. The prevailing party in any legal action shall be entitled to recover its reasonable attorneys' fees and costs. This governing law section is a material part of these Terms and reflects the parties' mutual agreement.

Additionally, the parties agree that the United Nations Convention on the International Sale of Goods (CISG) is expressly excluded. Any dispute regarding the interpretation or enforcement of these Terms shall be resolved in accordance with Chinese law, and the courts of Kunming, Yunnan shall have exclusive jurisdiction. You consent to service of process by email, registered mail, or any other method permitted by Chinese law. Peace Peak may also seek provisional remedies, including attachment or injunction, in any court of competent jurisdiction. This governing law clause shall not limit any rights that Peace Peak may have to seek enforcement of a judgment in any other jurisdiction. You acknowledge that you have had the opportunity to consult with legal counsel regarding this provision. If you are located in a jurisdiction that requires a different governing law for consumer contracts, that law shall apply to the extent it provides greater consumer protection, but all other provisions of these Terms shall remain in effect. In any event, the substantive law of China shall govern all issues relating to the interpretation and enforceability of these Terms.
